General Terms and Conditions (GTC)

Alexander de Cruppé Consulting | Training | Coaching provides consulting services for the client, conducts trainings / seminars / workshops, coaching and related services. The scope, form and content are discussed with the client at least at the beginning of the cooperation / project in an order clarification interview and generally written down. The results obtained are regularly evaluated together during the cooperation and, if necessary, changes in the assignment, the procedure and the objectives are discussed.

Alexander de Cruppé Consulting | Training | Coaching may use the services of qualified subcontractors / subcontractors, with Alexander de Cruppé Consulting | Training | Coaching always staying the contractual partner of the client and thus always remains directly committed to him.

Alexander de Cruppé Consulting | Training | Coaching usually provides monthly invoices according to the progress of the project, plus statutory VAT and travel expenses (EUR 0.50 net per km, first class train, flights and overnight stays by individual agreement), payable within 14 days. Unless otherwise agreed, no payment is due in the event of a delay or cancellation of agreed dates by the client with a lead time of more than 6 weeks. Provided the lead time is between 4 and 6 weeks, Alexander de Cruppé is Consulting | Training | Coaching is entitled to charge 50% of the agreed fee. If the transfer / cancellation is made less than 4 weeks in advance, 75% of the fee is due, less than 2 weeks 100% of the fee will be charged.

With the exception of intent or gross negligence, claims for damages by the customer are excluded. Contractual liability claims become statute-barred after 12 months, unless otherwise provided by law. As far as compensation claims against Alexander de Cruppé Consulting | Training | Coaching are excluded, this also applies with regard to the personal liability of employed staff and subcontractor of Alexander de Cruppé Consulting | Training | Coaching. The disclaimer does not apply to damage to life, limb or health. The client has any damage, for the Alexander de Cruppé Consulting | Training | Coaching must report immediately in writing, at the latest 2 weeks after the damage has been determined.

All documents which the contracting parties pass on to each other within the scope of the aforementioned cooperation serve exclusively to achieve the project objectives and can be used or duplicated in-house within this framework. Passing on to third parties is only possible with the written consent of the other contracting party. Alexander de Cruppé Consulting | Training | Coaching undertakes to treat all internal company information disclosed in the course of the consultation confidentially.

a) Alexander de Cruppé Consulting | Training | Coaching and the customer do not recruit any employees involved in the project during the project and 24 months thereafter.
b) (free) employees or subcontractors likewise do not initiate or respond to such attempts.
c) For each case of culpable violation of the non-solicitation ban, the contractor (customer, employee, subcontractor, contractor) who violates the clause shall pay a contractual penalty to be determined in the individual case to the other contracting party.

a) All copyrights to services, concepts, documents, evaluations, presentation etc.provided by Alexander de Cruppé Consulting | Training | Coaching remain with Alexander de Cruppé Consulting | Training | Coaching.
b) The client may only use concepts, documents, evaluations, representations, etc. created by Alexander de Cruppé Consulting | Training | Coaching for the purposes for which they are determined as agreed. This approval ends regularly with the termination of cooperation. Any further use and utilization requires the express written consent of Alexander de Cruppé Consulting | Training | Coaching or a corresponding compensation agreement.

If individual conditions are invalid, the legal validity of the contractual relationship is not affected. The ineffective provision in this case will be replaced by an effective and enforceable provision which corresponds as far as possible to economic and non-material provisions. Jurisdiction is the headquarters of the contractor Alexander de Cruppé Consulting | Training | Coaching.
